1. Application and Acceptance of the General Terms and Conditions of Sale
These General Terms and Conditions of Sale (GTCS) apply to all sales of products manufactured by Le Ressort Industriel, a simplified joint-stock company with a sole shareholder (SASU) with share capital of €48,000, registered with the Strasbourg Trade and Companies Register under number 658501945, with its registered office at 9 rue de la Batterie, 67118 Geispolsheim – FRANCE. Any order placed with Le Ressort Industriel implies full and unconditional acceptance of these GTCS, except for any contrary conditions expressly agreed in writing between the parties. In the event of a conflict between the special conditions agreed with the customer and these GTCS, the special conditions shall prevail.
2. Orders
Orders must be made in writing, by email, or by any other means allowing unequivocal identification of the customer’s commitment. Any order is firm and definitive after confirmation by Le Ressort Industriel. The customer undertakes to provide accurate information regarding the nature and specifications of the desired products (material, dimensions, quantity, etc.). Any error or omission in the order shall not be attributable to Le Ressort Industriel.
3. Prices
Product prices are quoted in euros, excluding taxes (excl. VAT). They may vary depending on fluctuations in raw material costs and production conditions. Le Ressort Industriel undertakes to inform the customer of any substantial price changes prior to order acceptance. Transport, packaging, and other ancillary costs are borne by the customer, unless otherwise agreed. Any change in tax legislation (VAT, etc.) will be reflected in the invoiced prices.
4. Payment Terms
Payment for products must be made before shipment / upon collection by the customer, unless otherwise agreed in advance. Payment is made by bank transfer, check, or any other method agreed between the parties. In the event of late payment, penalties will apply in accordance with the applicable legal rates.
5. Delivery
Delivery times are given for information purposes only. Le Ressort Industriel will make every effort to meet deadlines but cannot be held liable for delays caused by external factors (strike, bad weather, etc.) or force majeure. Products are shipped / delivered to the address indicated by the customer or handed over to the customer / a carrier. Delivery is deemed to have occurred upon direct delivery of the products to the customer or handover to a carrier. At that moment, the risks related to the products are transferred to the customer.
6. Acceptance of Products
The customer must check the condition of the products upon receipt. Any claim regarding damaged or non-compliant products must be made in writing within 72 hours of receipt. After this period, the products are deemed compliant and unconditionally accepted.
7. Warranty
Le Ressort Industriel guarantees the conformity of the products with the specifications agreed upon at the time of order, as well as against any manufacturing defect, for a period of 12 months from the date of delivery. This warranty is limited to bringing the products into conformity or replacing defective products, excluding any compensation for direct or indirect damages.
8. Intellectual Property
Drawings, models, patents, specifications, and other technical documents related to the products provided by the customer remain the exclusive property of the latter. Le Ressort Industriel undertakes not to reproduce, disclose, or use these elements without the customer’s prior written authorization.
9. Liability
Le Ressort Industriel’s liability is limited to the obligations defined in these GTCS. Under no circumstances shall Le Ressort Industriel be held liable for indirect, intangible damages, or loss of profits resulting from the use of the products sold.
10. Force Majeure
Le Ressort Industriel shall not be held liable in cases of force majeure, as defined by case law, preventing the performance of its obligations (strike, natural disaster, etc.).
11. Confidentiality
The customer undertakes to respect the confidentiality of the information communicated by Le Ressort Industriel within the framework of commercial transactions, whether of a technical, commercial, or other nature.
12. Applicable Law and Disputes
These GTCS are governed by French law. In the event of a dispute, the competent courts shall be those within the jurisdiction of Strasbourg, even in the case of multiple defendants or third-party proceedings.
